Terms of Service

1. Agreement to Terms

By accessing or using the Autodeck platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the Terms, you do not have permission to access the Service.

The Service is operated by Autodeck B.V., registered in the Netherlands ("Company", "we", "us", or "our").

2. Description of Service

Autodeck is a Software-as-a-Service (SaaS) platform that enables organisations to build, deploy, and operate AI-powered applications and agentic workflows. The Service includes:

  • A multi-tenant workspace environment for teams
  • AI agent orchestration and execution infrastructure
  • Integration tooling for cloud services and identity providers
  • Analytics, audit logging, and compliance reporting

3. Accounts & Workspaces

To access the Service, you must register an account. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.

  • You must be at least 16 years old to create an account.
  • You must provide accurate, current, and complete information during registration.
  • You are responsible for ensuring that all users in your workspace comply with these Terms.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation, including those in the Netherlands and the EU
  • Infringe upon the intellectual property rights of third parties
  • Transmit malicious code, conduct denial-of-service attacks, or attempt to gain unauthorised access to systems
  • Process personal data in violation of GDPR or other applicable data protection laws
  • Generate, distribute, or facilitate content that is illegal, hateful, or deceptive
  • Resell or sublicense access to the Service without our prior written consent

5. AI & Agentic Workflows

The Service includes AI-powered agents that operate autonomously to perform tasks. You acknowledge and agree that:

  • You are responsible for the instructions, data, and configurations you provide to AI agents.
  • AI-generated outputs may be inaccurate, incomplete, or inappropriate. You must review outputs before relying on them.
  • You must not use AI agents to make automated decisions that have significant legal or similarly significant effects on individuals without appropriate human oversight, as required by applicable law including the EU AI Act.
  • We do not guarantee the accuracy, legality, or fitness for purpose of any AI-generated output.

6. Intellectual Property

The Service, including its design, code, branding, and documentation, is owned by Autodeck B.V. and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

You retain all ownership rights to data, content, and configurations you create or upload ("Customer Data"). You grant us a limited, non-exclusive licence to process Customer Data solely to provide and improve the Service, as described in our Privacy Policy.

7. Subscription & Billing

Paid features of the Service are subject to a subscription. By subscribing, you authorise us to charge your payment method on a recurring basis in accordance with your selected plan.

  • Prices are listed exclusive of VAT where applicable.
  • Subscriptions auto-renew unless cancelled before the renewal date.
  • Refunds are provided in accordance with applicable EU consumer protection law. Business subscribers are not entitled to a statutory right of withdrawal.
  • We reserve the right to change pricing with at least 30 days' notice via email.

8. Service Availability & Modifications

We aim to provide 99.9% monthly uptime but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features of the Service with reasonable notice. For significant changes to paid plans, we will provide at least 30 days' notice.

9. Privacy & Data Protection

Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. By using the Service, you consent to the processing of your personal data as described therein.

Where you use the Service to process personal data of your end users, you act as the data controller and we act as your data processor. We will process such data only in accordance with your documented instructions and the applicable Data Processing Agreement.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AUTODECK B.V. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our aggregate liability to you for all claims arising from or relating to the Service shall not exceed the greater of (a) the total fees you paid in the 12 months preceding the claim, or (b) €100.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited under applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Autodeck B.V. and its officers, directors, and employees from any claims, liabilities, damages, and expenses (including legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

You may terminate your account at any time by contacting us at legal@autodeck.io. We may suspend or terminate your access immediately if you breach these Terms.

Upon termination, your right to use the Service ceases immediately. We will retain Customer Data for 30 days following termination, after which it may be permanently deleted. You may export your data during this period upon request.

14. Governing Law & Disputes

These Terms are governed by the laws of the Netherlands. Any disputes arising from or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts in the Netherlands, subject to any mandatory consumer protection provisions that may apply in your country of residence.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice in the Service at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
